These Terms & Conditions (“Terms”) govern your access to and use of the Verge204Seven platform (“Platform”). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

2. About Verge204Seven

Verge204Seven is a digital platform that facilitates discovery and connection between:
• Companies seeking investment (“Investees”) and
• Registered Investors (“Investors”).

Verge204Seven is not a stock exchange, crowdfunding portal, investment advisor, broker, or intermediary (as defined under SEBI regulations). The Platform does not provide personalised financial, legal, or investment advice.

3. Eligibility

You must be at least 18 years old and legally capable of entering into a binding contract under Indian law.

Investors and Investees are solely responsible for ensuring compliance with applicable laws, including SEBI, RBI, MCA, Companies Act 2013, and tax regulations.

4. User Accounts

You must provide accurate, complete, and updated information during registration and while updating your profile. You are responsible for maintaining the confidentiality of your login credentials.

5. Use of the Platform

You agree not to:

  • Misrepresent information or impersonate another person or entity.
  • Upload false, misleading, or fraudulent business/financial data.
  • Attempt to access data you are not authorised to view.
  • Scrape, copy, or misuse the Platform or its content.

6. Role of Verge204Seven

Verge204Seven acts only as a matchmaking platform. We do not:

  • Guarantee funding or investment;
  • Perform due diligence on users or companies;
  • Participate in negotiations or verify financial or legal documentation;
  • Provide investment recommendations or endorsements.

All decisions, negotiations, and transactions between Investors and Investees are conducted independently.

7. Fees & Payments

Verge204Seven may offer free or paid features. Any fees will be notified transparently before usage. Payments made are non-refundable unless explicitly stated.

8. Content & Intellectual Property

All Platform content, branding, and technology belong to Verge204Seven. Users retain ownership of their submitted information but grant Verge204Seven a license to use it for operating the Platform.

9. Confidentiality

Users must maintain confidentiality of any non-public or sensitive information received through the Platform. Verge204Seven does not guarantee confidentiality if information is voluntarily shared by users.

10. Limitation of Liability

Verge204Seven shall not be liable for any:

  • Investment losses;
  • Fraud or misrepresentation by users;
  • Business decisions based on Platform interactions;
  • Indirect, incidental, or consequential damages.

11. Termination

Verge204Seven may suspend or terminate your account for violation of these Terms, unlawful activity, or misuse of the Platform.

12. Governing Law

These Terms are governed by the laws of India. Courts in Delhi shall have exclusive jurisdiction.

13. Amendments

We may update these Terms periodically. Continued use of the Platform implies acceptance of revised Terms.
